1. Who these terms cover
These Terms of Use govern access to the FactAlly public website, interactive experiences, and any FactAlly service that expressly incorporates them. FactAlly is a brand operated by Handful of Ideas. “FactAlly,” “we,” “us,” and “our” refer to that operator. “You” means the person accessing the website or, when you are authorized to act for an organization, that organization.
By using a service that presents these terms for acceptance, you agree to them. Your use of the public website is subject to these terms to the extent permitted by applicable law. If you do not agree, do not use the services. You must be at least 18 and able to enter a binding agreement to create an account or purchase a service. If you act for an organization, you represent that you have authority to bind it.
A signed order, product agreement, data-processing agreement, or other written agreement may add to these terms. If an express provision of such an agreement conflicts with these terms for the same service, the more specific agreed provision controls to the extent of that conflict. Our Contact page, with Terms question selected is the route for questions about this agreement.
2. Current website and product availability
The public website introduces Healthcare Screening and Family Lookout and includes interactive examples. It does not by itself create an active customer account, conduct a live screening, enroll you in monitoring, establish coverage, or charge you for a plan. Features, coverage, source availability, and commercial terms are available only as expressly stated for a service actually offered.
Mockups, illustrative reports, sample names, example counts, and mascot artwork demonstrate presentation and possible workflows. They are not results concerning real individuals and should not be relied upon as an operational service. An example button or review decision does not submit a real screening decision. A product description is not a commitment to deliver every illustrated feature on a particular date.
3. Permission to use the services
Subject to these terms and any applicable plan or agreement, we grant you a limited, nonexclusive, nontransferable permission to access the website and use the features made available to you for their stated purpose. No ownership of our software, branding, site design, or proprietary materials is transferred. Rights not expressly granted are reserved.
You may read and reasonably reference public website content for legitimate purposes. Download, export, API access, redistribution, resale, automated collection, and use in another product are allowed only to the extent expressly supported by the applicable feature, source license, or written agreement. A customer’s access does not remove third-party restrictions on underlying data.
4. Understanding the information
FactAlly organizes and explains information from identified sources and, where available, information submitted by customers. Information can be incomplete, outdated, incorrectly associated, or affected by source errors, publication delays, format changes, omissions, and differences in identifiers. A source may change a record after a result is produced. Displaying a source does not mean we endorse every statement it contains.
A potential match is a prompt for identity review, not proof that the record concerns the person you have in mind. A name match alone is insufficient to confirm identity. You must compare relevant identifiers, review the original record where appropriate, understand the context, and follow the procedures required for your use. A “confirmed” label entered by you records your review choice; it is not an independent certification by FactAlly.
A result showing no identified match means only that the supported process did not identify a match within its scope at that time. It does not establish that no relevant record exists, that all jurisdictions or sources were searched, that the person is eligible, or that a person or place is safe. Source scope, dates, and exclusions matter.
5. Healthcare Screening
Healthcare Screening is intended to help authorized users review supported provider exclusion, sanction, professional, and related source information where the service is offered. Coverage depends on the sources, identifiers, refresh schedule, and product scope expressly included in your service. The website does not promise that every federal, state, local, licensing, or professional source is included.
You remain responsible for credentialing, enrollment, employment, reimbursement, patient-safety, licensing, and compliance decisions, including any required checks, identity confirmation, documentation, rechecks, notice, and review. A report is not legal, medical, reimbursement, or regulatory advice and does not certify compliance or eligibility.
Do not submit patient medical records or protected health information unless the specific service supports that information and all required agreements and safeguards have been established. A healthcare brand name, a provider record, or an exclusion-screening workflow does not itself create a HIPAA business associate agreement.
6. Family Lookout
Family Lookout is intended for adult parents, guardians, and other adults with appropriate authority to understand supported information about relevant people, places, and changes. It is not a substitute for supervision, independent verification, professional judgment, an emergency alert system, a comprehensive background investigation, or official public-safety information.
Do not use the service to stalk, harass, intimidate, discriminate against, secretly track, or unlawfully investigate another person. Do not submit a child’s information without appropriate authority. A source record or alert does not establish that a person is dangerous, that a location is unsafe, or that an event is imminent. A missing alert does not establish the absence of risk.
For immediate danger, urgent medical concerns, or an emergency, use the appropriate local emergency services or official source. Our Contact page and product support channels are not monitored as emergency services.
7. Regulated and consequential decisions
Do not use a website preview or general informational product as a consumer report or to determine eligibility for employment, promotion, reassignment, retention, housing, credit, insurance, or another purpose regulated by the Fair Credit Reporting Act or similar laws. A service may support such a purpose only if FactAlly expressly agrees in writing and provides a product and procedures designed for that use.
A disclaimer does not eliminate legal duties that apply to a particular use. You are responsible for determining whether your proposed use requires a permissible purpose, consent, disclosures, adverse-action procedures, record accuracy safeguards, or other legal steps. Contact us with Terms question before proposing a regulated use not expressly supported by your agreement.
Do not rely solely on an automated summary, status color, ranking, explanation, or name match to make a consequential decision about a person. You must assess the source evidence, identity, relevance, and applicable process.
8. Monitoring, alerts, and service continuity
Where a monitoring feature is offered, it operates only for the subjects, sources, fields, and schedule included in the service. Monitoring may depend on source availability, processing queues, identifiers, plan limits, and the communication preferences you select. It is not continuous observation of every source or a guarantee of immediate detection.
Alerts may be delayed, duplicated, filtered, incomplete, or undeliverable because of source changes, provider outages, network conditions, account settings, recipient systems, or other causes. You are responsible for maintaining usable contact details, checking the workspace where applicable, and arranging any independent checks your responsibilities require.
We may perform maintenance, repair failures, change technical dependencies, or restrict access to protect the service. No uptime, refresh, recovery, or response-time commitment applies unless stated in an applicable written service agreement. We will provide any notices or remedies required by that agreement or applicable law.
9. Accounts, organizations, and access
Where accounts are available, you must provide accurate registration information, keep it current, protect credentials and authentication methods, and promptly report suspected unauthorized access using Contact → Security concern. Do not share access in a way that bypasses user limits or permissions. You are responsible for activity you authorize and for taking reasonable steps to protect your account.
Organization administrators may manage users, permissions, subscriptions, and organization information according to the service’s access controls. If you use an organization-managed account, that organization may control access to associated data and records. You should understand its policies before submitting information.
We may decline, restrict, or suspend access where reasonably necessary to address unauthorized use, fraud, a material breach, a legal obligation, or an immediate security risk. We will provide notice and a reasonable opportunity to resolve an issue where appropriate, unless doing so would undermine security, violate law, or expose another person to harm.
10. Information you submit and customer responsibilities
You retain your rights in information you submit. You grant us the rights reasonably needed to receive, store, process, format, transmit, and display that information to provide the requested service, support it, secure it, and comply with applicable obligations. This permission does not transfer ownership of your information to us.
You represent that you have the authority, permissions, notices, and lawful basis required for the information and instructions you provide. You are responsible for choosing appropriate subjects, providing accurate identifiers, respecting the rights of other people, and limiting submissions to the supported purpose. Do not upload information just because it is technically possible to enter it.
You must maintain any independent records or backups required for your activities. Exports, deletion, retention, and post-termination access are governed by the available feature and applicable agreement. We may retain information where required or permitted for legal, security, accounting, dispute, or legitimate recordkeeping purposes, as explained in the Privacy Policy.
11. Acceptable use and prohibited conduct
You must use the services lawfully and respect other people’s privacy and rights. You must not attempt unauthorized access; test or exploit vulnerabilities without permission; introduce malware; interfere with service availability; circumvent access, rate, geographic, or plan restrictions; impersonate someone; submit knowingly false or unlawful information; or use the services for harassment, intimidation, unlawful discrimination, or other abusive activity.
You must not scrape, harvest, copy, reverse engineer, resell, or redistribute protected parts of the service except as expressly authorized by law or agreement. Do not remove source notices, misrepresent a source’s findings, fabricate a confirmation, or present a FactAlly result as an official government certification. Reasonable security reporting is welcome through Contact → Security concern without accessing other users’ information.
We may investigate suspected violations and take proportionate steps to protect the service, affected people, and our providers. We may preserve relevant records and cooperate with lawful authorities where required or appropriate.
12. Plans, payments, renewals, and cancellation
No paid purchase is completed merely by browsing this website or contacting us. When a paid service is offered, its order or checkout must state the price, billing period, included scope, usage limits, any minimum commitment, and any applicable trial or introductory terms before you agree. Taxes and any additional charges must be disclosed as required by law.
A recurring subscription requires the authorization and disclosures applicable to that purchase. Where automatic renewal applies, the renewal frequency, charges, cancellation method, and any notice requirements will be provided before enrollment. These general terms do not enroll you in automatic renewal or authorize a payment on their own.
You may cancel using the method made available with your subscription or contact Contact → Billing support for assistance. The effective date of cancellation, continued access, treatment of unused capacity, prorating, refunds, and any trial conversion are governed by the disclosed purchase terms and applicable law. Nothing here removes a cancellation or refund right that law gives you.
We will not apply a new price retroactively to a completed purchase. Changes to recurring pricing or material plan terms require the notice and consent, where required, applicable to that subscription. A charge dispute should identify the transaction reference and issue without including full payment-card details in the contact form.
13. Intellectual property and feedback
FactAlly, its branding, Ally artwork, design, software, and original explanatory materials are owned by or licensed to the operator and are protected by applicable intellectual-property law. Source agencies, data providers, licensors, and other third parties retain their respective rights. Public-source information may have its own license or reuse conditions.
You may send suggestions and feedback voluntarily. You grant us permission to use nonconfidential suggestions to improve or develop the service without an obligation to pay compensation. Do not submit another person’s confidential information or intellectual property as feedback unless you are authorized to do so. This permission does not replace the Privacy Policy for personal information.
14. Third-party sources and services
The services may link to or depend on independent sources, websites, delivery providers, payment providers, and integrations. We do not control those operators’ records, availability, policies, or decisions. Their terms and privacy notices may apply to your direct use of their services.
A link, source citation, professional identifier, or government reference does not imply an endorsement, affiliation, sponsorship, or official authorization. If a source changes access, corrects information, removes a record, or becomes unavailable, affected features or results may change. We may substitute or remove a source subject to the scope and remedies in an applicable agreement.
15. Corrections, disputes about records, and support
If you believe information is inaccurate, outdated, or associated with the wrong person, use Contact → Information correction. Provide the product, relevant source or record reference, and a concise explanation. We may ask for verification or additional information through an appropriate process. Do not post confidential records or full identity documents in the general form.
We can review our processing and presentation, but an independent agency or provider controls the original record. A correction in FactAlly may not alter the source. Where appropriate, you must use the source’s correction, appeal, or dispute process as well. Nothing in these terms limits a correction or dispute right available under applicable law.
16. Disclaimers and professional advice
To the fullest extent permitted by applicable law, the public website, interactive experiences, and services are provided on an “as is” and “as available” basis unless an express written service commitment applies. We do not warrant that the service will be uninterrupted, error-free, exhaustive, suitable for every use, or free of all security risks, or that every source record or explanation will be accurate, complete, or current.
To that same extent, we disclaim implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. Information and explanations are not legal, medical, financial, emergency, credentialing, or other professional advice. Consult qualified professionals and official sources when your decision requires them.
These exclusions apply only where lawful. They do not exclude an express obligation in an applicable agreement, a mandatory statutory warranty or consumer protection, or liability that cannot legally be excluded.
17. Limits of liability
To the fullest extent permitted by applicable law, FactAlly and its operator, personnel, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, opportunities, goodwill, or data arising from use of or inability to use the services, even if the possibility was foreseeable. This includes losses arising from unverified matches, source omissions, missed or delayed alerts, and decisions you make using information, subject to the exceptions below.
To the fullest extent permitted by applicable law and unless a written agreement specifies otherwise, the aggregate liability of FactAlly and its operator for claims relating to a service will not exceed the greater of the amount you paid FactAlly for that affected service in the 12 months before the event giving rise to the claim or 100 United States dollars.
These limitations do not apply to fraud, intentional misconduct, or other liability that applicable law does not permit us to limit, and do not reduce mandatory consumer rights. If local law does not allow a particular exclusion or limitation, that provision applies only to the maximum extent allowed.
18. Ending use, suspension, and survival
You may stop using the public website at any time. If you have a paid service or account, cancellation, export, and deletion follow the applicable service terms and the Privacy Policy. Stopping website use does not by itself cancel an existing paid agreement; use the cancellation method provided for that agreement or Contact → Billing support.
We may suspend or end a service for a material breach, a legal requirement, a serious security concern, or discontinuation subject to any applicable agreement and mandatory notice or refund requirements. Suspension does not authorize continued access through another account. Provisions that by their nature need to continue, including payment obligations already incurred, ownership, confidentiality where agreed, disclaimers, liability limits, and dispute provisions, survive termination to the extent applicable.
19. Governing law and resolving disagreements
These terms are governed by California law and applicable United States federal law, without applying conflict-of-law rules that would defeat mandatory rights. This choice does not deprive a consumer of protections that cannot be waived under the law of the consumer’s place of residence.
If you have a dispute, please first use Contact → Terms question and provide a concise description and the resolution requested. We will try to address the concern through appropriate communication. This informal step does not stop a limitation period or prevent you from seeking urgent relief, exercising a statutory right, or contacting a regulator.
Unless an applicable written agreement or mandatory law provides otherwise, courts with appropriate jurisdiction in Orange County, California will hear disputes relating to these terms. You retain access to a court or small-claims forum where mandatory law gives you that right. These terms do not impose mandatory arbitration or a class-action waiver.
20. Changes, interpretation, and contact
We may update these terms to reflect changes in the website, services, or applicable requirements. The effective date is stated at the top of the page. Material changes to an existing paid agreement will be handled with any required notice, agreement, and cancellation rights; posting a change does not retroactively change an already resolved transaction or remove accrued rights.
If a provision is unenforceable, it will be limited to the lawful extent needed, and the remaining provisions continue where permitted. A failure to enforce a provision is not a permanent waiver. Section titles assist navigation and do not change the substance of the terms. You may not transfer an account or contractual rights without required consent; a permitted business transfer remains subject to the applicable agreement and law.
For questions about these terms, choose Contact → Terms question. For personal-information requests, choose Privacy request. For charges or cancellation, choose Billing support. For an inaccurate record, choose Information correction. The Contact form routes these topics without requiring you to locate a separate address or telephone number.
